Atombit acquires Omega3c to expand its pan-European Experience Intelligence platform

Atombit Limited, pan-European leader in Experience Intelligence services, supported by Palatine Private Equity, has acquired the entire share capital of Omega3c, an independent company based in Milan that offers customer and employee experience transformation solutions.

The acquisition of Omega3c is part of an international acquisition plan through which Atombit, with the support of Palatine Private Equity, aims to expand the range and geographic scope of its operations by creating an integrated pan-European platform capable of aggregating proven solutions and market-leading talent in complementary areas aligning with Atombit’s vision, creating a new market leader in the provision of ROI-driven Experience Intelligence solutions.

Deloitte Legal assisted Atombit with legal due diligence and all aspects of the transaction under Italian law, with a multidisciplinary team led by partner Andrea Sciortino and coordinated by of counsel Federico Michelini, along with Domiziana Stradiotti, and, for employment law aspects, Marco Marzani and Federica Bernasconi.

Atombit was also assisted, for the legal and contractual aspects under English law relating to the transaction, by Gateley Legal, with partner Beth Mather and associate Rosie Butler.

The selling shareholders and managers of Omega3c were assisted by creo+ with partner Marco Petrucci for the initial NDA and LOI agreements, the definition and drafting of the share transfer agreement and the subsequent collaboration agreements between the sellers and Atombit. The English law aspects were handled by lawyer Dominic Pini of Pini Franco LLP.
