TotalEnergies has carried out an asset swap with Pampa Energía that involves a wind farm and a participation in the Vaca Muerta shale play.

Through the agreement, TotalEnergies will purchase the Mario Cebreiro wind farm located in the Province of Buenos Aires, and its participation in the hydrocarbons concession in Rincón de Aranda, Vaca Muerta.

The transaction closed on August 16, 2023.

For TotalEnergies, the transaction implies an important milestone in its energy diversification strategy, the company said.

Argentine law firm Marval O’Farrell Mairal acted as counsel to TotalEnergies, with the team assisting on the sales agreement of the wind farm led by partners Pablo Garcia Morillo and María Laura Bolatti Cristofaro, along with associates Mariano Martín Morat and Guido Garaban.

The firm’s counsel regarding the transfer of the Rincón de Aranda area was led by partners Francisco Macias, Agustina Ranieri, and senior of counsel Arturo Pena, and who were assisted by associate Felipe Fernández.

Regarding the electric energy aspects and administrative law, Marval’s advice was led by partner Gonzalo Santamaria, while partner María Inés Brandt led the firm’s work on the related tax issues.

Marval’s partner Francisco Abeal oversaw the foreign exchange and banking law matters.

TotalEnergies’ in-house legal team was led by Marisa Basualdo and María Gabriela Roselló Warren, with Matías Bértola.

Pampa Energía was represented in the transaction by in-house counsel Martín Gardella and María Agustina Montes, and by law firm Salaverri, Burgio & Wetzler Malbrán, with a team led by partners Diego Salaverri and Tomás Arnaude, along with associates Santiago Freire and Carolina Colombo.
