Marval Advises on Beer Brands Deal

Marval, O’Farrell & Mairal has advised Compañía Cervecerías Unidas Argentina S.A. (CCU) and Compañía Industrial Cervecera S.A. on the early termination of the Budweiser trademark license agreement and the transfer of beer brands in Argentina. The $400m transaction was closed on May 2nd.


Anheuser Busch InBev NV (AB Inbev) transferred the brands Isenbeck, Diosa, Norte, Iguana and Baltica to CCU through its relevant subsidiaries, and terminated the licenses of Warsteiner and Grolsh.


CCU agreed to the early termination of the Budweiser trademark license and entered into new trademark license agreements to commercialize the Warsteiner and Grolsh brands in Argentina. An initial $316m was paid at closing, with the remaining $84m to be paid over a period of three years.


The transaction approved by the Argentine Antitrust Commission and the Secretariat of Trade, is part of AB Inbev divestment action in Argentina after its 2016 takeover of SAB Miller.
