Linklaters and Latham & Watkins Advise on Proposed €2.8bn SIX-BME Deal
Linklaters’ Madrid office advised Swiss Stock Exchange operator SIX Group on its €2.84 billion offer for Spanish bourse operator BME [Bolsas y Mercados Españoles].

The BME board of directors is being advised by Latham & Watkins and Morgan & Stanley on the deal.
BME, which is led by CEO Javier Hernani Burzaco (pictured), is the operator of all stock Markets and financial systems in Spain. BME has been a listed company since 2006.
The Linklaters team advising SIX included partners Víctor Manchado, Alex Kolb and Paloma Fierro.
The Latham & Watkins team advising the BME board was led by Madrid managing partner Ignacio Gómez-Sancha and counsel Luis Lozano.
A Six statement said the offer represented “a premium of 47.6% over BME’s 6-month volume weighted average share price and 33.9% over its closing price of EUR 25.40 on 15 November 2019.”
A BME statement said: The offer has been preceded by discussions between representatives of Six and BME including a presentation by Six to the board of directors of BME of its industrial project for the future management of the markets, systems and infrastructures currently managed by BME, as well as certain commitments that it is ready to assume in relation to BME and the Spanish authorities with the purpose of preserving the integrity and stability of such markets, systems and infrastructures.”
