Guerrero Olivos has advised Empresas Masvida S.A. (EMV) in connection with the sale of 51% stake of its network of medical and clinical centers and other assets, to real estate investors, Inversiones Valmar Limitada and Madesal S.A.
The agreement was made throughout a joint venture, which was specially structured for this transaction under the name, Valsal SpA. The $24m deal closed on June 15th.
Headquartered in Concepción, EMV is a Chilean holding providing health insurance brokerage services. The holding structure consists of four main companies: Isapre Masvida, Infovida S.A., MV Clinical and MV Financial.
Representation included the structuring and implementation of an internal reorganization of the holding and its related parties, to concentrate the percentage to be divested in one sole entity. The transaction was approved in May by the National Antitrust Prosecutor.
Guerrero Olivos acted as legal counsel to the holding regarding to the regulatory, corporate and antitrust matters, with a team led by partner Clemente Pérez, assisted by senior associates Jaime Barahona and Tomás Kubrick and junior associate Tomás Montes.
CMS Carey Allende served as counsel to Inversiones Valmar Limitada and Madesal S.A., led by partner Luis Felipe Arze.
