EY Advises UnitedHealth on $2.8 billion Banmédica’s Purchase

EY regional team has advised UnitedHealth Group Incorporated, a US health insurance company, on the purchase of all of Banmédica’s region companies, for a total of $2.8 billion. The deal is expected to close on the first quarter of 2018.

EY regional team has advised UnitedHealth Group Incorporated, a US health insurance company, on the purchase of all of Banmédica’s region companies, for a total of $2.8 billion. The deal is expected to close on the first quarter of 2018.


According to Superintendencia de Valores y Seguros (SVS), UnitedHealth will offer $3,500 per share for 100% of the outstanding shares of the company. Penta Group and Fernández León, currently have a 57% stake in Banmédica. The purchase of shares offer began on December 27th and will conclude on January 25th.

 

Established in 1988, Banmédica is a multinational Chilean holding company, present in Argentina, Colombia and Peru through several clinics, specialized laboratories, medical centers, private medical insurance companies (Isapres) and medical rescue units.

 

EY acted as regional tax team, advising UnitedHealth on the purchase structuring process and due diligence. The regional team contained the following members:

 

Peru: Fernando Tori, Claudia Plasencia and Edwin Sarmiento.

Chile: María Javiera Contreras, Darío Romero and Claudio Aracena.

Colombia: Aleksan Oundjan and Luis Villareal

United States: Maryann D’Angelo and Sarah Tennant.
