Ulhôa Canto’s practice is best known for its work with venture capital and technology transactions. We have extensive experience assisting clients with key issues (contractual, regulatory, and transactional), having worked closely with both startups and founders, as well as with VC funds, particularly in setting up the international structure in preparation for financing rounds, assisting our clients with the actual financing rounds (ranging from Series Seed to later stage series, but with a focus on late-stage VC), and assisting in exit routes (M&A).
Among others, we have advised 99 and its investors in the transaction that created the first Brazilian unicorn, assisted Grin in its merger with Yellow, assisted Riverwood in various investments in Brazil, as well as acted as counsel in successful exits and M&A deals such as Supplier/TOTVS and Loft/Decorati. We have also advised clients in the regulatory realm (including fintech and energy).
One key characteristic that makes the department unique is our capability to work on complex cross-border transactions and to deeply understand both the corporate (in Brazil and abroad) and the tax aspects of a transaction (our firm has historically been ranked as a top-tier tax firm and a top tier international wealth planning firm).
