VIA Outlets acquires Scalo Milano Outlet & More from the Lonati Group

VIA Outlets, the leading pan-European owner-operator of sustainable outlet centres controlled by Dutch institutional investor APG, has acquired 100% of the share capital of Locate District S.p.A., the owner and operator of Scalo Milano Outlet & More, from the Lonati Group.
The transaction marks VIA Outlets’ entry into the Italian market and supports its growth strategy focused on the selective acquisition of outlet centres in high-potential markets, as well as the further enhancement of its portfolio through its established 3R strategy: remerchandising, remodelling and remarketing. Following the acquisition, VIA Outlets’ pan-European portfolio expands to 325,000 square metres of gross leasable area (GLA) across 12 premium outlet centres located in ten markets: the Czech Republic, Germany, Italy, the Netherlands, Norway, Poland, Portugal, Spain, Sweden and Switzerland.
Located in Locate di Triulzi, just 15 minutes from central Milan, Scalo Milano Outlet & More opened in 2016 and was subsequently expanded by 9,000 square metres, reaching a total GLA of approximately 44,000 square metres. The centre features a diversified mix of more than 180 national and international fashion and lifestyle brands, alongside a broad food & beverage offering and a Design District, and recorded over 4 million visitors in 2025.

EY advised VIA Outlets on all tax and financial transaction due diligence aspects of the deal, with a team coordinated by partner Andrea Scialpi and led by partner Alessandro Padula, supported by manager Giovanni Mei and senior Beatrice Nemini on tax matters, and by senior manager Alessandro Bianchi, assisted by manager Anna Corti, on financial matters. EY also handled the overall tax structuring of the transaction, including international tax aspects, assisted in the negotiation of the transaction documents, and supported the buyer in the tax and financial due diligence.
K&L Gates advised the Lonati Group with a team led by partner Francesco Sanna, assisted by associates Francesca Leonelli and Angelo Meglio and trainee Alessia Rocchi. Corporate M&A aspects were handled by partner Bruno Vascellari together with associate Lorenzo Fidanza.
