Nuova Solmine acquires Venator Italy’s Scarlino business

Nuova Solmine S.p.A. (Solmar Group), through its subsidiary SOL.TIOX. S.r.l., has completed the acquisition of the Venator Italy business located in Casone di Scarlino (Grosseto). Nuova Solmine S.p.A. is a leading Italian company in the production and marketing of sulphuric acid and oleum. The transaction was carried out while preserving 200 direct jobs and represents an opportunity for the industrial relaunch of the acquired business, which specializes in the production of titanium dioxide.
SOL.TIOX. S.r.l. was assisted on all legal aspects of the transaction by RASS – Studio Legale Rinaldi e Associati, with a team composed of Cosimo Di Bitonto, Andrea Lazzaretti, Ester Scordo and Mariarosaria Ligurgo.
SOL.TIOX. S.r.l. also relied on the support of Dr. Loris Busti of Studio Busti (Perugia) for tax matters.
Venator Italy was assisted on legal aspects by Giovannelli e Associati, with a team composed of Alessandro Giovannelli and Matteo Bruni, who handled corporate and contractual matters; Paolo Bertolini and Najwa Hamidallah, who dealt with regulatory aspects; and Andrea Scarpellini and Santi Marco Calabrò, who handled labour law matters.
With regard to tax aspects of the transaction, Venator Italy was assisted by the founder of MGP Studio Tributario e Societario.
KPMG Advisory acted as financial advisor to Venator Italy in the disposal, with a team composed of Marco Brugola, Federico Tricotti and Paolo Gregoratti.
