LB Holding S.p.A. has acquired from Pamaf S.r.l. a 37% stake in the share capital of Alma S.p.A., the company that holds the entire share capital of Piazza Italia S.p.A., one of the main Italian players in the fashion retail sector.
“Our family strengthens its governance and long-term investment capacity,” comments Luigi Bernardo, CEO of Piazza Italia. “We are focusing on production proximity, digitalization, and training in order to build a competitive and sustainable model that continues to create jobs and value in Italy and abroad.”
The transaction was made possible also thanks to financing granted by a pool of banks led by UniCredit S.p.A. and composed of five additional institutions – BNL BNP Paribas and Banca Monte dei Paschi di Siena as mandated lead arrangers, and CDP, Mediocredito Centrale and Banco di Desio as lead arrangers.
LB Holding S.p.A. was assisted by Prof. Avv. Luca Parrella of LNL Parrella & Associati and by Tommaso Carroli and Edoardo Palumbo of Tesauro & Associati – Studio Legale Tributario for the legal and tax aspects.
UniCredit and the other banks of the pool were assisted by the international law firm Gianni & Origoni with a team led by partner Eduardo Fiordiliso, supported by associates Giacomo Tassini and Giovanni Bica.
