Gruppo Statuto completes corporate merger for Six Senses Rome luxury hotel project

Gruppo Statuto has finalized a corporate merger involving its subsidiaries Mellini Property S.p.A. and Domus Sideris S.r.l. as part of the strategic acquisition and redevelopment of the Six Senses Rome luxury hotel. The operation follows the extensive renovation of Palazzo Salviati Cesi Mellini, a historic building located in Piazza di San Marcello in central Rome, which now serves as a five-star luxury destination.
The project was supported by a sophisticated financial structure totaling over 250 million euros, raised through a combination of bank financing and bond issuances. The merger was designed to consolidate the group’s corporate architecture, incorporating Domus Sideris S.r.l., the entity that previously held the property and managed the renovation, into Mellini Property S.p.A., which acted as the issuer of the bond loans used to fund the development.
Ciampaglia Dottori Commercialisti played a key role in the successful completion of the merger by providing the expert report required under Article 2501-bis of the Italian Civil Code, which governs mergers involving debt leverage. The firm’s team was led by founder Gian Matteo Ciampaglia and assistant Francesca Gariboldi.
The operation highlights the continued investment by Gruppo Statuto in Rome’s high-end hospitality market and the use of capital market instruments to facilitate large-scale real estate transformations in Italy.
