Fila to Acquire 100% of Seven, Expanding Its School Product Portfolio

Fila S.p.A. (Fabbrica Italiana Lapis ed Affini), a company listed on the regulated market Euronext Milan, has signed an agreement to acquire 100% of Seven – a leading company in the production of backpacks and a wide range of school and educational products under proprietary brands including Seven, Invicta, SJ Gang, and Mitama – from the founding shareholders (the Di Stasio family) and the majority shareholder Green Arrow Private Equity Fund 3, a fund managed by Green Arrow Capital.

The transaction, whose closing is expected by January 31, 2026, represents a key step in the further development of the Fila Group, enabling significant commercial synergies, an expansion of the brand portfolio, and a strengthening of its competitive position in the Italian school market.

The legal advisors to Fila were Salonia e Associati, with a team led by partner Annalisa Barbera and comprising senior associates Federica Paganini and Valentina Besutti, and Gatti Pavesi Bianchi Ludovici, with a team led by partner Federica Munno and including junior partner Vittorio Cavajoni, associates Marco Tapparo and Luca Orio, and junior associate Silvia Barbati, as well as, for financing matters, equity partner Andrea Limongelli and associate Leopoldo Esposito.
