Elecnor, Enagás sell Mexican pipeline subsidiaries to Macquarie

Gasoducto de Morelos owns a 172km gas pipeline, which is divided into two sections located in the central Mexican states of Morelos, Puebla and Tlaxcala.
The deal was valued at around $173 million.
This transaction was complicated since it involved the satisfaction of several conditions precedent for the effective closing of the transaction, for more than a year and a half, considering the regulatory, economic and operational aspects of the pipeline owned by Gasoducto de Morelos, Mexican law firm Gonzalez Calvillo, which acted as counsel to Elecnor and Enagás, said in a statement.

Hernando Becerra de Cima, Oscar Moreno Silva and Cristina Massa Sanchez, with associates Jorge Moreno Balcazar, Daniel Gonzalez Contreras, Fernando Blanco Gonzalez and José Alfonso Fernandez Casares.
Vinson & Elkins LLP acted as principal and external counsel of Macquarie Infrastructure Partners, while Cuatrecasas México acted as local counsel of Macquarie Infrastructure Partners in Mexico.
Baker McKenzie acted as local counsel for Elecnor and Enagás Internacional in the United States with respect to certain documents governed by NY law, and Seyfarth Shaw also acted as local counsel for Elecnor and Enagás Internacional in the US with respect to certain documents governed by NY law.
Ritch Mueller was retained as local counsel in tax matters, and as local counsel of certain lenders involved in the satisfaction of certain conditions precedent in finance matters, while Galicia Abogados acted as local counsel in tax matters of Macquarie Infrastructure Partners.
