Davide Campari-Milano launches tender offer on existing bonds and places new €600 million senior bond

Davide Campari-Milano N.V. has completed a cash tender offer inviting holders of its €550 million 1.250% bonds due 6 October 2027 to sell all or part of their holdings, pursuant to the terms and conditions set out in the tender offer memorandum dated 9 June 2026.
Simultaneously, the company completed the placement of a fixed-rate senior unsecured bond for a nominal value of €600 million with a seven-year maturity, reserved for institutional investors. The bond represents the first issuance under the company's Euro Medium Term Notes (EMTN) programme, carries a fixed annual coupon of 4.25%, and has been admitted to listing on the regulated market of the Luxembourg Stock Exchange and to trading on the Mercato Telematico delle Obbligazioni (the regulated market of Borsa Italiana).
Davide Campari-Milano N.V. was assisted by Orrick, with a team comprising partner Craig Byrne, special counsel Patrizia Pasqualini and associate Francesco Laurenti.
The pool of financial institutions — BNP Paribas and Deutsche Bank as Dealer Managers in the tender offer, and BNP Paribas, BofA Securities, Deutsche Bank, Intesa Sanpaolo (Divisione IMI CIB) and UniCredit as Joint Lead Managers in the new issuance — was assisted by A&O Shearman, with a team led by partner Cristiano Tommasi and counsel Sarah Capella, supported by associate Paolo Martellone, together with a team from the Amsterdam office comprising partner Jonathan Heeringa and Victoria Schepers.
