CDP launches first investments under the Fondo Nazionale Strategico Indiretto

Cassa Depositi e Prestiti (CDP) has launched the first investment transactions carried out on behalf of the Fondo Nazionale Strategico Indiretto (FNSI) – a project promoted by the Italian Ministry of Economy and Finance and managed by CDP within the framework of the Patrimonio Rilancio instrument – including an investment in the alternative investment fund reserved for professional investors known as “Generali Future Leaders Italia” (the “Fund”), established and managed by Generali Asset Management S.p.A. Società di gestione del risparmio.
The transaction forms part of the initiatives promoted by CDP which, through the FNSI, aims to strengthen the capital markets and support the continued listing of SMEs, contributing to increased liquidity and visibility of listed SMEs, as well as fostering the launch of new IPOs. The initiative also seeks to consolidate the presence of long-term institutional investors in the Italian equity market, with the objective of making the national capital market more solid and competitive.
At the Fund’s first closing, with total commitments amounting to €123 million, leading private investors participated (accounting for more than 51% of the total commitments), alongside the FNSI with a €50 million commitment (in compliance with the 49% investment cap provided for under the Patrimonio Rilancio regulatory framework).
CDP was assisted by the Gatti Pavesi Bianchi Ludovici team, composed of partner Raffaele Sansone, senior associate Floriana Sarra, and associates Alessandra Gisonna, Marco Corda and Sara Nanollari, assisted CDP throughout all phases of the negotiation, due diligence and completion of the transaction.
The internal legal team of CDP involved in the transaction was led by lawyers Maurizio Dainelli (Head of Legal – Equity Investments, Finance and Sustainability) and Massimiliano di Tommaso (Head of M&A, Investment Funds, Patrimonio Rilancio and Competition) and included lawyers Jacopo De Luca (Head of Patrimonio Rilancio and Competition), Alberto Tusini Cottafavi (Head of Legal – Funds and Regulatory Advisory), Silvana De Lauretis and Andrea Schiavo.
