BMAJ Advises Phospaz Mineraçao in $24m Puquios Mining Project Sale

Cuprum Resources is a Chilean mining company, which owns assets and permits, including the right to development the “Puquios” open pit copper mine in northern Chile.
The BMAJ team drafted and negotiated the terms of the sale and purchase agreement and its ancillary documents in a cross-border transaction, involving legal counsel in Brazil, Chile and the Isle of Man. In addition, the team advised on the restructuring of Cuprum Chile Resources, as was required under the terms of the transaction.
Representation also included an evaluation of the compliance status, risks and issues in a variety of critical matters, such as mining, water and surface rights, as well as environmental and sectoral permits held by Cuprum Chile, in order to complete the agreement.
BMAJ acted as sell-side counsel with a team led by partner Pablo Mir, assisted by senior associates Felipe Allende, Joaquín Pérez and Jorge Valenzuela.
Guerrero Olivos served as the purchaser’s Chilean counsel, and were led by partner Pedro Lyon, assisted by senior associate Benjamín Pérez.
Sildey Austin acted as US counsel to the purchaser, Fialho Salles as Brazilian counsel to the seller and Mattos Filho as Brazilian counsel to the purchaser.
