ATTA Group acquires four precision tooling companies in PCD and HM consolidation play

ATTA Group, backed by Armònia SGR on behalf of its "Armònia Italy Fund II" and led by CEO Federico Scalaberni, has completed the acquisition of four companies specialised in polycrystalline diamond (PCD) and hard metal (HM) precision tooling: Tunit Srl, Affilomeccanica Srl, Utensiltecnica Srl and Cruing Italy Srl.

ATTA Group, backed by Armònia SGR on behalf of its "Armònia Italy Fund II" and led by CEO Federico Scalaberni, has completed the acquisition of four companies specialised in polycrystalline diamond (PCD) and hard metal (HM) precision tooling: Tunit Srl, Affilomeccanica Srl, Utensiltecnica Srl and Cruing Italy Srl. The transactions bring the group's total portfolio to six companies, reinforcing its position as a leading platform in the high-precision tooling sector.

The acquisitions follow the industrial consolidation strategy launched by the fund in 2025, built around an initial core comprising Ceresoli Utensili and Lamev — the latter subsequently merged into the former — together with Dorigo Utensili. The transaction was financed by Muzinich and included a reinvestment component by certain sellers.

Cappelli Riolo Calderaro Crisostomo Del Din & Partners (CRCCD) advised Armònia SGR across all legal aspects of the acquisitions, covering due diligence, negotiation of the sale and purchase agreements, seller reinvestment arrangements, and the definition of new management agreements. The Corporate/M&A team was led by counsel Alessandro Antoniozzi, supported by associate Raffaela Tortora and junior associate Luca Valente. The Real Estate aspects were handled by partner Alessandro Vespa, senior associate Isabella Fascì and junior associate Flaminia Pallini. IP/IT and Privacy matters were overseen by partner Alessandra Feller, together with senior associate Ginevra Lombardi and associate Giulia Concato. The Banking & Finance team, responsible for the financial due diligence aspects, comprised partner Morena Bontorin and junior associate Linda Varanzano.

Chiomenti advised Armònia on the financing aspects of the transaction with a team led by partner Davide D'Affronto and composed of senior associate Cettina Merlino and associates Filippo Neri and Francesca Regolo.
