Argos Wityu acquires Axitea from Stirling Square Capital Partners

The pan-European private equity group Argos Wityu has acquired from the fund Stirling Square Capital Partners the entire share capital of Axitea, an Italian leader in surveillance and digital security services for corporate clients.
Regarding the acquisition, Argos Wityu was assisted by the law firm Giovannelli e Associati with a team composed of Alessandro Giovannelli, Matteo Bruni, and Alessandra Gritti, who handled corporate and contractual aspects, and by Valerio Fontanesi, Gaetano Petroni, Massimo Giordano, and Rosa Maria Moschella, who managed the financing aspects related to a unitranche loan structured through a bond subscription by funds managed by BNP Paribas Asset Management Europe and the revolving credit facility provided by BNL BNP Paribas.
For the tax aspects of the operation, Argos Wityu was assisted by the M&A team of the law firm WST.
The law firm Latham & Watkins assisted BNP Paribas Asset Management Europe and BNL BNP Paribas with a team that included partners Marcello Bragliani and Alessia De Coppi and associates Pasquale Spiezio and Giulia La Mantia. It also assisted Banca Finint as paying agent, issuing agent, noteholders’ representative, and security agent, with a separate team including Davide Camasi and Giovanni Briscese.
Stirling Square Capital Partners was assisted by the law firm Pavia e Ansaldo, with a team led by Stefano Bianchi and Paola Carlotti, supported, for all corporate and contractual aspects related to the divestment, by Riccardo Robuschi and Alessio Macaluso, as well as, for labour matters, by Valentina Simonelli and Pier Alberto Rosini, and for regulatory and administrative matters, respectively, by Maria Rosaria Raspanti and by Alessandro Paccione with Raimondo Camponi.
The law firm Giliberti Triscornia e Associati assisted Argos Wityu regarding matters related to the reinvestment of the Axitea management team members as well as the structuring of the related incentive plan, with a team composed of Riccardo Coda and Luigi Copetti.
The law firm Aurès, with a team composed of Magda Picchetto and Lorenzo Stellini, assisted the Axitea management team with matters related to their investment in the context of the operation.
